These Terms of Service ("Terms") govern your access to and use of the Fanflet platform, website, and related services (collectively, the "Services") operated by Fanflet, LLC ("Fanflet," "we," "us," or "our"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
These Terms include a mandatory arbitration provision and class action waiver (Section 16) that affect your legal rights. Please read them carefully.
Throughout these Terms, the following definitions apply:

You must be at least 18 years old to create an account or use the Services. The Services are not directed at children under 18. If we learn that we have collected personal information from a child under 18, we will delete it promptly.
You agree to provide accurate, current, and complete information when creating your account and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Each individual may maintain one Speaker account and one Sponsor account. Creating multiple accounts to circumvent plan limits, bans, or other restrictions is prohibited.
You must notify us immediately at support@fanflet.com if you believe your account has been compromised. Fanflet is not liable for any loss arising from unauthorized use of your account where you have failed to maintain reasonable security of your credentials.
If you create an account on behalf of a company, conference organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms. The entity agrees to indemnify Fanflet for any violations of these Terms by its representatives.

Fanflet provides a platform for Speakers to create digital resource pages (fanflets) that Audience Members can access via QR codes, direct links, or shared URLs. The Services include fanflet creation and editing, resource management, subscriber collection, analytics, QR code generation, SMS bookmark delivery, and related tools.
We strive to maintain the availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.
We may modify, update, or discontinue features of the Services at any time. If we discontinue a material feature that affects your paid subscription, we will provide at least 30 days' notice and, where appropriate, a pro-rated refund.

Subject to these Terms and your compliance with them, Fanflet grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with your subscription plan.
You retain all ownership rights in your Speaker Content. By uploading or creating Speaker Content on the Services, you grant Fanflet a non-exclusive, worldwide, royalty-free license to host, store, cache, reproduce, display, and distribute your Speaker Content solely for the purpose of:
This license does not permit Fanflet to use your specific Speaker Content for any purpose unrelated to delivering and operating the Services, except as described in Section 7 (Artificial Intelligence and Machine Learning) and Section 8 (Platform Data Rights).
This license continues for as long as your Speaker Content remains on the Services and terminates when you delete the content or your account, subject to the data retention provisions in Section 14.
Sponsors grant Fanflet a non-exclusive, worldwide, royalty-free license to host, display, and distribute Sponsor Content on designated fanflet pages during the term of each active Sponsor Connection. Sponsors also grant Speakers a license to display Sponsor Content on their fanflet pages as configured through the platform.
Upon termination of a Sponsor Connection or retirement of Sponsor Content by the Sponsor, Fanflet will mark the associated resource blocks as unavailable. Fanflet retains de-identified analytics related to Sponsor Content engagement after retirement.
The Services, including the software, design, brand, logo, documentation, and all Aggregate Data, are the property of Fanflet or its licensors. Nothing in these Terms grants you any right to use Fanflet's trademarks, logos, or brand assets without our prior written consent.

Your use of the Services is subject to the Fanflet Acceptable Use Policy ("AUP"), available at fanflet.com/legal/acceptable-use, which is incorporated into these Terms by reference. Sponsor Content displayed on fanflet pages must be clearly identified as sponsored content. Fanflet provides platform-level labeling of sponsor blocks. Speakers and Sponsors are jointly responsible for compliance with FTC endorsement and disclosure guidelines for their specific arrangements. Fanflet's platform labeling does not constitute legal advice or a guarantee of compliance.

Subscribers are your audience members. The subscriber relationships you build through Fanflet are yours. You may export your complete subscriber list at any time through the dashboard. If you terminate your account, you may export your Subscriber Data during the 30-day post-termination window described in Section 14.
For the purposes of data protection law, Fanflet acts as a data processor when handling Subscriber Data on a Speaker's behalf. Speakers are the data controllers for Subscriber Data collected through their fanflets and are responsible for maintaining appropriate legal bases for collecting and using this data. If Fanflet offers a Data Processing Agreement in the future, it will be incorporated into these Terms at that time.
Fanflet may contact Audience Members and Subscribers solely for transactional and service-related purposes, including:
Fanflet will not use Subscriber Data to market Fanflet's own products or services to Subscribers without obtaining separate, explicit consent directly from each Subscriber.
Sponsors do not have access to Subscriber personal information. Sponsors may access aggregate engagement metrics for their Sponsor Content (such as total resource clicks and conversion rates) but not any data that identifies individual Subscribers or Audience Members.

Fanflet may use artificial intelligence and machine learning technologies to power platform features, including resource recommendations, analytics insights, content suggestions, engagement scoring, and quality improvements. This section explains how your data does and does not relate to these capabilities.
Fanflet uses aggregated, de-identified usage signals across all accounts to improve platform features. These signals include patterns such as which resource types drive higher engagement, how fanflet structures affect subscriber conversion rates, and which content configurations perform well across the platform. This processing occurs at the aggregate level — no individual Speaker, fanflet, or Subscriber is identifiable from this analysis. This processing does not involve generative AI model training.
The content you create on Fanflet — including resource titles, descriptions, links, files, text blocks, fanflet configurations, survey questions, and profile information — is never used by Fanflet to train any artificial intelligence or machine learning model. This commitment applies to all forms of AI training, including fine-tuning, reinforcement learning, and embedding generation on individual content items.
Email addresses, survey responses, SMS bookmark requests, and individual engagement data from people who subscribe to or interact with your fanflets are not used for AI model training. Subscriber Data is used only to operate the platform, provide Speakers with analytics about their fanflets, and honor Subscriber preferences.
Sponsored content and sponsor profile information submitted to the platform is not used for AI model training without a separate written agreement with the Sponsor.
When Fanflet uses third-party AI services to power features (such as content suggestions or analysis tools), Fanflet contractually requires these providers to:
Fanflet's commitments in this Section 7 apply solely to Fanflet's own use and processing of your data, and to third-party services operating under contract with Fanflet (as described in Section 7.6).
Fanflet cannot control how third parties outside our platform access or use publicly available content. Public fanflet pages are accessible on the open internet by design — this is how your Audience Members find your resources. As with any publicly accessible web content, third-party crawlers, AI training systems, search engine indexers, and other automated tools operated by parties unrelated to Fanflet may access, cache, index, or otherwise process content displayed on public fanflet pages. Fanflet takes reasonable measures to discourage unauthorized scraping — including robots.txt directives and rate limiting — but cannot guarantee that third parties will respect these controls or refrain from using publicly accessible content for AI model training or other purposes.
If controlling third-party access to your content is important to you, consider limiting what you publish on public fanflet pages and using gated or file-based resources that require subscriber access.
If Fanflet introduces AI features that would require broader data use than described in this section, we will update these Terms, provide clear notice, and obtain any required consent before implementing such changes.

Fanflet processes four categories of data, each with distinct rights and protections:
Speaker Content — Owned by the Speaker. Fanflet's license is limited to operating the Services as described in Section 4.2.
Subscriber Data — Collected on the Speaker's behalf. Speakers are data controllers; Fanflet is a data processor. Subject to the protections in Section 6.
Usage Data — Behavioral and interaction data generated through use of the Services. Fanflet independently collects Usage Data — including QR scan events, page views, resource click events, email subscription events, SMS bookmark requests, and device/location signals — through its platform infrastructure. Fanflet is an independent data controller for Usage Data.
Aggregate Data — De-identified data derived from Usage Data that is combined across multiple accounts and cannot reasonably be used to identify any individual. Fanflet owns all Aggregate Data.
Platform Insights — Derived analytics, benchmarks, scores, and recommendations generated by Fanflet's proprietary systems from Usage Data and Aggregate Data. Fanflet owns all Platform Insights. Platform Insights may be incorporated into the Services, offered as standalone analytics products, or used to inform Fanflet's business decisions. Platform Insights never contain information that identifies an individual Speaker, Subscriber, or Audience Member.
Fanflet may use Aggregate Data and Platform Insights for any lawful purpose, including:
When Fanflet generates Aggregate Data, it applies a minimum group size threshold. No aggregate metric or benchmark is reported or made available if it would reflect fewer than five (5) individual accounts, ensuring that aggregate insights cannot be used to re-identify individual Speakers or their audiences.
Fanflet does not sell personal information (as defined under the California Consumer Privacy Act / CPRA) of Speakers, Subscribers, or Audience Members to third parties. Aggregate Data that cannot reasonably identify any individual is not personal information.
Fanflet may offer analytics products, benchmarking reports, or industry insights based on Aggregate Data. These products will not contain information that identifies any individual Speaker, Subscriber, Sponsor, or Audience Member.

Fanflet offers an SMS bookmark feature that allows Audience Members to receive a single text message containing a link to a Speaker's fanflet. By submitting a phone number through a fanflet SMS bookmark form, the Audience Member consents to receive one (1) SMS text message from Fanflet on behalf of the Speaker.
At the point of phone number submission, Audience Members are presented with the following disclosure:
"By submitting your phone number, you consent to receive one (1) text message containing a link to this resource page. Message and data rates may apply. Reply STOP to opt out. Fanflet will not use your phone number for marketing or share it with third parties."
Fanflet does not store Audience Member phone numbers in plaintext. Phone numbers submitted through the SMS bookmark feature are:
Fanflet's SMS operations comply with the Telephone Consumer Protection Act (TCPA), the Federal Communications Commission's regulations, and applicable state laws governing text messages. Speakers may not use the Fanflet platform to send unsolicited SMS marketing messages. If Fanflet introduces additional SMS features in the future, appropriate consent mechanisms will be implemented before launch.

Fanflet uses server-side tracking to collect Usage Data as described in our Privacy Policy. This tracking operates across all fanflet pages, including those accessed by Audience Members who do not have Fanflet accounts. Usage Data collected includes page views, resource clicks, QR scan events, email subscription events, SMS bookmark requests, referral sources, device type, and general geographic location (country/region level).
QR codes generated by Fanflet include tracking parameters that record scan events. Scan data is attributed to the associated fanflet and contributes to the Speaker's analytics dashboard and to Fanflet's Aggregate Data.
The level of analytics detail available to Speakers depends on their subscription plan. Basic engagement statistics (total views, total subscribers) are available on all plans. Detailed analytics (click-through rates, resource rankings, trend data) may require a paid plan as described on our pricing page.
Fanflet may use third-party analytics and infrastructure services. These providers process data in accordance with their own privacy policies and Fanflet's data processing agreements with them. A current list of sub-processors is maintained in our Privacy Policy.

Fanflet offers free and paid subscription plans. The features, limits, and pricing of each plan are described on our pricing page at fanflet.com/pricing and may be updated from time to time.
Free plans are subject to usage limits (e.g., maximum number of fanflets, resource blocks, or subscribers). Fanflet reserves the right to modify free plan limits with 30 days' notice.
Paid plans are billed on a monthly or annual basis as selected at the time of purchase. Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.
You authorize Fanflet (or our payment processor) to charge the payment method on file for all applicable fees. You are responsible for keeping your payment information current. If a payment fails, we will notify you and may suspend access to paid features until payment is received.
You may cancel your paid subscription at any time through your dashboard settings. Upon cancellation:
Refunds are available for annual plans within 14 days of initial purchase or renewal. Monthly plans are not refundable. Refund requests should be sent to support@fanflet.com.
Fanflet may change subscription pricing with at least 30 days' advance notice. Price changes take effect at the start of the next billing period following the notice. If you do not agree with a price change, you may cancel before the new price takes effect.
Plans described as "unlimited" for certain features are subject to a fair use policy. Fanflet reserves the right to contact users whose usage significantly exceeds typical patterns and to work with them to select an appropriate plan. We will not suspend or restrict access without first providing notice and a reasonable opportunity to address the situation.

Sponsors may create accounts to manage branded resources and establish connections with Speakers. Sponsor accounts are subject to the same general terms as Speaker accounts, plus the additional provisions in this section.
Sponsors and Speakers may establish connections through the platform. Each connection requires mutual acceptance. Either party may terminate a Sponsor Connection at any time through the platform. Termination of a connection does not affect either party's account or other connections.
When a Sponsor Connection is terminated, or when Sponsor Content is retired by the Sponsor:

Speakers retain all intellectual property rights in their Speaker Content. Nothing in these Terms transfers ownership of Speaker Content to Fanflet.
Fanflet owns or licenses all rights in:
Fanflet respects intellectual property rights and responds to notices of alleged infringement in accordance with the Digital Millennium Copyright Act (DMCA).
To submit a DMCA takedown notice, send the following to our designated agent:

Counter-Notices: If you believe your content was removed in error, you may submit a counter-notice with the information required by 17 U.S.C. 512(g). We will forward the counter-notice to the complaining party.
Repeat Infringers: Fanflet will terminate accounts of users who are repeat copyright infringers.

You may delete your account at any time through your dashboard settings or by contacting support@fanflet.com. Upon account deletion:
Fanflet may suspend or terminate your account if:
For violations, Fanflet may terminate immediately. For non-payment or other non-emergency circumstances, Fanflet will provide at least 14 days' notice before termination. In all cases of termination by Fanflet, we will make your data available for export for at least 14 days, except where prohibited by law (e.g., law enforcement requests).
Fanflet's rights with respect to Aggregate Data survive termination of any account. De-identified aggregate analytics derived from your account will not be deleted upon account termination. This data cannot be used to identify you or your Audience Members.
Notwithstanding the above, Fanflet may retain certain records as required by applicable law, including:

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Fanflet does not warrant that:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FANFLET'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FANFLET IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
IN NO EVENT SHALL FANFLET BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER FANFLET WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Fanflet is a platform that hosts content created by Speakers. Fanflet does not review, endorse, or guarantee the accuracy, completeness, or quality of Speaker Content or any external resources linked to from fanflet pages. Audience Members access Speaker Content at their own risk.
Fanflet does not endorse or guarantee any products, services, or claims made in Sponsor Content. The inclusion of Sponsor Content on a fanflet page does not constitute a recommendation by Fanflet or by the Speaker (unless the Speaker independently chooses to endorse the Sponsor's offerings).

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@fanflet.com and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved through good-faith negotiation.
If we cannot resolve a dispute informally, you and Fanflet agree to resolve any claims relating to these Terms or the Services through final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration will be conducted in English, and judgment on the award may be entered in any court of competent jurisdiction.
YOU AND FANFLET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws provisions, except where superseded by applicable federal law or the laws of your jurisdiction.

The Services are designed for and primarily offered to users in the United States and North America. While users in other regions may access the Services, certain features, support, and compliance measures are optimized for the US market.
All data submitted to or collected by the Services is processed and stored in the United States (US East Coast). By using the Services, you consent to the transfer of your data to the United States.
Fanflet does not currently maintain an establishment in the European Union, designate an EU representative under GDPR Article 27, or offer EU data residency. EU/EEA/UK users who require GDPR-compliant data processing with EU-based storage should evaluate whether the Services meet their requirements before creating an account.
If you are located in the EU/EEA/UK and wish to exercise data subject rights (access, rectification, erasure, portability), contact privacy@fanflet.com. We will respond to valid requests within a reasonable timeframe.
Fanflet intends to expand its compliance and localization capabilities over time. We will update these Terms and provide notice when additional regional compliance measures (such as a Data Processing Agreement, EU representative, or localized data processing) become available.

Fanflet may offer API access, MCP (Model Context Protocol) integrations, and developer tools. Use of such features will be governed by additional developer terms published at the time of availability.
Data accessed through APIs or integrations is subject to the same usage restrictions as data accessed through the platform directly. API users may not use the Services to build competing products, aggregate data across multiple accounts without authorization, or circumvent plan limits or rate restrictions.

These Terms, together with the Privacy Policy, Acceptable Use Policy, and any plan-specific terms, constitute the entire agreement between you and Fanflet regarding the Services and supersede all prior agreements.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Fanflet's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
You may not assign or transfer these Terms without Fanflet's prior written consent. Fanflet may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided the assignee agrees to be bound by these Terms.
Notices to you will be sent to the email address associated with your account. Notices to Fanflet should be sent to legal@fanflet.com.
Fanflet will not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, or failures of third-party services.
